Terms of Service

1. Scope of Service

These Terms of Service govern access to and use of inplicit.ai's AI-powered innovation intelligence platform and any associated pilot engagement services (collectively, the "Service"), provided by inplicit.ai ("we", "us", "our") to the customer ("you", "Client").

2. Pilot Terms

Pilot engagements are time-limited, scoped programmes designed to demonstrate the value of the Service within your organisation. The scope, duration, and deliverables of each pilot will be agreed in writing prior to commencement. No ongoing commitment is implied by participation in a pilot.

3. Intellectual Property

All intellectual property rights in the Service - including underlying AI models, software, and methodologies - remain exclusively with inplicit.ai. You retain ownership of all data and content you provide. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of delivering the Service.

Insights, maps, and reports generated through the Service are provided to you under a non-exclusive licence for your internal business use only.

4. Liability

The Service is provided on an "as is" basis. To the fullest extent permitted by applicable law, we exclude all warranties, express or implied. We shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Our total liability to you in connection with any claim shall not exceed the amounts paid by you in the three months preceding the claim.

5. Termination

Either party may terminate a pilot engagement by providing 7 days' written notice. We reserve the right to suspend or terminate access immediately in the event of material breach of these Terms.

On termination, we will provide a data export upon request within 30 days, after which your data will be securely deleted.

6. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. The courts of [City], Germany shall have exclusive jurisdiction over any disputes arising from these Terms.
